Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and NeuralChainAI ("we," "us," or "our") governing your access to and use of the PaperChime website (paperchime.ai), iOS application, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately stop using the Service. You must be at least 13 years of age to use the Service.

2. Description of Service

PaperChime is an audio-first learning platform that delivers AI-generated lessons derived from academic machine learning research papers. The Service is available through our iOS application and website at paperchime.ai.

We reserve the right to modify, update, or discontinue any features of the Service at any time without prior notice. This includes changes to content delivery frequency, available topics, lesson format, and any other aspect of the Service.

3. Accounts & Authentication

To access certain features of the Service, you must create an account using a supported third-party authentication provider (currently Apple Sign In or Google Sign In). We do not collect or store passwords.

You agree that:

  • You are responsible for maintaining the security of your third-party authentication accounts used to access the Service
  • You will not create more than one account or share your account with others
  • You will not use automated means (bots, scripts, etc.) to create accounts or access the Service
  • If you sign in with multiple providers using the same email address, your accounts will be automatically linked

We reserve the right to suspend or terminate your account at our sole discretion, with or without cause or notice.

4. Subscription & Payment Terms

Free Tier

The free tier provides access to up to 3 lessons per calendar month and your 3 most recently completed lessons. Free tier limits reset on the first day of each calendar month.

Paid Subscription

Paid subscriptions are available at $19/month or $199/year and include unlimited daily lessons and full learning history. All payments are processed exclusively through Apple In-App Purchase.

Auto-Renewal & Cancellation

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Cancellation is managed through your device's Settings > Subscriptions. Cancellation takes effect at the end of the current billing period; no pro-rata refunds will be issued for unused portions of a billing period.

Refunds

NeuralChainAI does not process refunds directly. All refund requests must be submitted to Apple through their standard refund process. We reserve the right to change subscription pricing at any time with reasonable notice. Existing subscribers will retain their current rate through the end of their active billing period.

5. Intellectual Property

Our Content

All lesson scripts, audio recordings, summaries, key takeaways, shareable one-liners, and all other derivative content generated by the Service are the exclusive property of NeuralChainAI. These materials constitute AI-generated derivative works and are our proprietary content, protected by applicable intellectual property laws.

Source Papers

Original research papers referenced by the Service remain the property of their respective authors and publishers. Papers are sourced from arXiv and other academic repositories under open access licenses (including CC0 and CC-BY) that permit the creation of derivative works.

Your License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and listen to content through the Service for your personal, non-commercial use only.

Restrictions

You may not:

  • Reproduce, redistribute, sell, license, broadcast, publicly perform, or create derivative works from our lesson scripts or audio content
  • Download, rip, or otherwise extract audio files from the Service
  • Use any content from the Service to train artificial intelligence or machine learning models
  • Remove or alter any proprietary notices, labels, or attributions

You may share links to paper pages on the PaperChime website and use the built-in social sharing features provided within the Service.

6. AI-Generated Content Disclaimer

Lesson content on PaperChime is generated using artificial intelligence technology and may be reviewed by our team. You acknowledge and agree that:

  • AI-generated summaries are condensed interpretations of academic research papers and are not the original research itself
  • Lessons are not a substitute for reading the full original paper
  • While we strive for factual accuracy, AI-generated content may contain errors, omissions, or misinterpretations of the source material
  • NeuralChainAI makes no representations or warranties whatsoever regarding the accuracy, completeness, or reliability of AI-generated content
  • All content is provided for educational and informational purposes only and does not constitute professional, academic, medical, legal, financial, or career advice
  • You are solely responsible for verifying any claims or findings by consulting the original papers, which are linked on every lesson page

7. Acceptable Use

You agree to use the Service only for lawful, personal learning purposes. The following activities are strictly prohibited:

  • Scraping, crawling, or using any automated means to access the Service or extract content
  • Reverse-engineering, decompiling, or disassembling the application or its underlying systems
  • Attempting to circumvent free tier usage limits or any other access controls
  • Using the Service or its content to train artificial intelligence or machine learning models
  • Impersonating any person or entity, or misrepresenting your affiliation with any person or entity
  • Interfering with, disrupting, or placing an undue burden on the Service or its infrastructure
  • Sharing, selling, or transferring your account credentials to any third party

Violation of these acceptable use terms may result in immediate termination of your account without prior notice and without refund.

8. User Conduct in Chat

The paper Q&A chat feature is provided solely for asking questions about research papers presented on the Service. When using the chat feature, you agree that:

  • You will not use the chat to generate content for commercial purposes
  • You will not attempt to extract system prompts, manipulate the AI, or engage in prompt injection attacks
  • You will not submit abusive, offensive, harassing, or harmful content
  • We may log, review, and use your chat interactions to improve the Service

We reserve the right to disable chat access for any user at our sole discretion without notice.

9. Third-Party Services

The Service integrates with third-party services including Apple (for authentication and payment processing), Google (for authentication), Amazon Web Services (for hosting and content delivery), and OpenAlex (for academic paper metadata).

Your use of these third-party services is governed by their respective terms of service and privacy policies. NeuralChainAI is not responsible for the availability, performance, or policies of any third-party service, and shall not be liable for any loss or damage arising from third-party service outages, errors, or policy changes.

10. DISCLAIMER OF WARRANTIES

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, NeuralChainAI expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that the content provided through the Service will be accurate, current, complete, or reliable. No advice or information, whether oral or written, obtained from NeuralChainAI or through the Service shall create any warranty not expressly stated in these Terms.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event shall NeuralChainAI, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of career or academic opportunities, loss of goodwill, or any other intangible losses, regardless of whether such damages were foreseeable and whether NeuralChainAI was advised of the possibility of such damages.

Our total aggregate liability for any and all claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total amount you paid to NeuralChainAI in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) fifty Canadian dollars (CAD $50). These limitations apply regardless of the theory of liability, including contract, tort (including negligence), strict liability, or any other legal or equitable theory.

12. Indemnification

You agree to indemnify, defend, and hold harmless NeuralChainAI and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including any intellectual property, privacy, or publicity rights; or (d) any content you submit through the Service, including chat messages.

13. Service Modifications & Termination

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. This includes the right to change features, content delivery frequency, topic availability, free tier limits, and any other aspect of the Service.

We may terminate or suspend your account and access to the Service at any time, for any reason, with or without cause, and with or without notice. Upon termination, your license to use the Service immediately ceases.

The following sections of these Terms shall survive any termination: Intellectual Property (Section 5), AI-Generated Content Disclaimer (Section 6), Disclaimer of Warranties (Section 10), Limitation of Liability (Section 11), Indemnification (Section 12), and Governing Law & Dispute Resolution (Section 14).

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered under the rules of the ADR Institute of Canada. The arbitration shall take place in Ontario, Canada, and shall be conducted in English.

CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against NeuralChainAI.

Notwithstanding the foregoing, either party may bring qualifying claims in small claims court in the applicable jurisdiction.

15. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you through the Service or via the email address associated with your account. The "Effective Date" at the top of this page will always reflect the date of the latest revision.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
